Dsyfer Shield End-User License Agreement

Early access notice

Dsyfer Shield is in active development and offered as an early-access service. Features may change or be withdrawn, no uptime commitment applies, and AI-generated outputs can be inaccurate or incomplete. See AI disclosures for details.

This End-User License Agreement (“Agreement” or “Terms”) is a legal contract between you (“User,” “you,” or the entity you represent) and Sybersafe, LLC, operating as Dsyfer (“Dsyfer,” “we,” or “us”). It governs your access to and use of Dsyfer Shield, the private AI gateway, together with the Shield website, applications, APIs, content and related services (collectively, the “Service”).

By creating an account, checking the acceptance box at signup, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

1.Early access and beta status

The Service is provided on an early-access basis. You acknowledge and agree that:

  • The Service is under active development and may contain defects, incomplete features, or behaviour that changes without notice.
  • We may add, modify, limit, suspend or discontinue any feature, plan or usage allowance at any time.
  • No service-level agreement, uptime guarantee, or support response commitment applies to early-access or free-tier use.
  • You should not rely on the Service as the sole system of record for information you cannot afford to lose, and you are responsible for maintaining your own copies of important data.

2.AI-generated output and no professional advice

The Service routes requests to third-party and first-party artificial intelligence models and returns generated output. AI output is probabilistic. It can be inaccurate, incomplete, outdated, biased, or fabricated, and it may appear confident while being wrong.

  • You are solely responsible for reviewing, validating and approving any AI output before relying on or acting upon it.
  • AI output must not be used as the sole basis for any decision affecting legal rights, health or safety, employment, credit, insurance, regulatory compliance, or other consequential outcomes.
  • Nothing produced by the Service constitutes legal, medical, financial, tax, security or other professional advice, and no attorney-client, clinician-patient or fiduciary relationship is created.
  • Detection, classification, redaction and policy-enforcement features are automated aids. They are not guaranteed to identify or prevent every disclosure of sensitive information.

3.License grant

Dsyfer grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service solely for lawful internal business or personal use, in accordance with these Terms and any applicable order or subscription. The Service is licensed, not sold. No ownership rights are transferred to you.

4.Accounts and security

You are responsible for:

  • Providing and maintaining accurate account information.
  • Protecting your credentials, activation links and API keys.
  • All activity conducted through your account or credentials.
  • Notifying us promptly at shield@dsyfer.com of any suspected unauthorized access.

Accounts are for a single named user unless a written agreement provides otherwise. The Service is not offered to anyone under 18 years of age.

5.Acceptable use

You agree not to:

  • Reverse engineer, decompile, scrape, or attempt to derive the underlying models, prompts or source code of the Service.
  • Rent, resell, sublicense, or share your account or keys with third parties.
  • Circumvent security controls, rate limits, usage allowances, or access areas of the Service not intended for you.
  • Submit malicious code, or use the Service to attack, probe or disrupt any system.
  • Use the Service to generate unlawful content, infringe intellectual property, harass or defraud others, or produce material that sexually exploits minors.
  • Use the Service in a manner that violates the acceptable-use policies of the underlying model providers your requests are routed to.
  • Use output from the Service to train a competing model or to build a competing service.

We may suspend or terminate access for any violation, with or without notice.

6.Restrictions on regulated and high-risk data (free and early-access tiers)

Unless you have a separate written agreement with Dsyfer that expressly permits it — such as a Business Associate Agreement or an executed enterprise data processing agreement — you must not submit to the free or early-access Service:

  • Protected health information (PHI) subject to HIPAA.
  • Attorney-client privileged or work-product material.
  • Payment card data subject to PCI DSS, or full financial account credentials.
  • Government classified, export-controlled (ITAR/EAR) or CUI material.
  • Biometric identifiers, government identification numbers, or children's personal data.
  • Trade secrets or other information whose disclosure would cause material harm.

Submitting such data to a tier that does not cover it is a breach of these Terms and is at your own risk. Enterprise arrangements that support regulated data are available on request — contact shield@dsyfer.com.

7.Your data and inputs

You retain ownership of the prompts, files and other content you submit (“Customer Data”) and, as between you and Dsyfer, of the output generated for you. You grant Dsyfer the rights necessary to host, transmit, process and display Customer Data solely to operate and support the Service, including transmitting requests to the model providers you or your administrator select.

We do not use Customer Data to train foundation models. Handling, logging and retention are described in the Privacy Policy.

You represent that you have all rights and permissions necessary to submit Customer Data and that doing so does not violate any law or third-party right.

8.Third-party model providers

The Service acts as a gateway to third-party AI providers. Those providers process your requests as subprocessors under their own terms and security practices. Zero-data-retention handling depends on the configuration and capabilities of the selected provider and route. Dsyfer is not responsible for the acts, omissions, availability, pricing or output of third-party providers.

9.Compliance responsibilities

Dsyfer provides tooling that can support your governance and compliance program. It does not perform your compliance obligations for you. You acknowledge that:

  • You remain solely responsible for determining whether your use of AI complies with the laws, regulations and frameworks applicable to you.
  • References to frameworks such as SOC 2, HIPAA, GDPR or the EU AI Act describe how the Service is designed to support those requirements; they are not a certification, attestation or legal determination unless we provide a current report in writing.
  • Compliance outcomes depend on your configuration, policies and internal actions.

10.Fees and plans

Free-tier access is provided at no charge and subject to usage allowances that we may change. Paid features require an active subscription. Non-payment may result in suspension or termination. Except where required by law or stated in your order, payments are non-refundable.

11.Intellectual property

All software, models, branding, documentation and other technology underlying the Service are owned by Dsyfer or its licensors and protected by intellectual property laws. No rights are granted beyond the license in these Terms. You may provide feedback, and you grant us a perpetual, royalty-free license to use it to improve the Service.

12.Confidentiality

You agree to keep non-public technical, security, business and operational information about the Service confidential, including credentials, administrative functionality, pre-release features and pricing not publicly posted.

13.Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate access for breach, security risk, non-payment, or discontinuation of the Service. Following termination, your account and associated data may be deleted as permitted by law. You are responsible for exporting anything you need beforehand.

14.Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DSYFER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY AI OUTPUT WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE OR ERROR-FREE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE AND ANY RELIANCE ON ITS OUTPUT.

15.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Dsyfer will not be liable for lost profits, lost revenue, lost or corrupted data, business interruption, or any indirect, incidental, special, punitive or consequential damages, however caused.
  • Dsyfer's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Dsyfer in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100). For free-tier and early-access use, this cap is USD $100.

These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, in which case they apply to the fullest extent permitted.

16.Indemnification

You agree to indemnify and hold harmless Dsyfer and Sybersafe, LLC from any claim, loss or expense (including reasonable legal fees) arising from your Customer Data, your use of AI output, your breach of these Terms, or your violation of any law or third-party right.

17.Governing law and venue

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law rules. Any action must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and each party consents to that jurisdiction.

18.Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the “last updated” date above and, where practicable, communicated by email or in-product notice. Your continued use of the Service after changes take effect constitutes acceptance.

Acceptance

By accessing or using Dsyfer Shield, you acknowledge that you have read, understood and agree to be bound by these Terms, the Privacy Policy and the AI disclosures. If you do not agree, you must stop using the Service.
